PASO IS NOT A MEDICAL PROVIDER. THE SERVICES, APP CONTENT, AUDIO AND TEXT EPISODES, NUTRITION INFORMATION, HABIT TRACKING, AND INTERACTIVE FEATURES ARE PROVIDED SOLELY FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES. THEY DO NOT CONSTITUTE MEDICAL ADVICE, CLINICAL DIAGNOSIS, MEDICAL TREATMENT, DIETARY PRESCRIPTIONS, OR HEALTHCARE SERVICES, NOR DO THEY CREATE ANY PHYSICIAN-PATIENT, DIETITIAN-CLIENT, OR CLINICAL RELATIONSHIP.

NEVER DISREGARD PROFESSIONAL MEDICAL ADVICE OR DELAY IN SEEKING IT BECAUSE OF SOMETHING YOU HAVE READ, HEARD, OR ENCOUNTERED IN THE PASO APP. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 (IN THE UNITED STATES) OR YOUR LOCAL EMERGENCY SERVICES IMMEDIATELY.

THESE TERMS CONTAIN A MANDATORY BINDING INDIVIDUAL ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER (SECTION 15) REQUIRING YOU AND PASO TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS RATHER THAN IN COURT OR BEFORE A JURY.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ZURI GLOBAL S.R.L., a company incorporated and existing under the laws of Romania, having its registered seat in the Municipality of Făgăraș, 13 Cînepii Street, Brașov County, Romania, registered with the Trade Register under no. J2026027622003, Fiscal Code (CIF) 54560651 ("Company", "PASO", "we", "us", or "our"), governing your access to and use of the PASO mobile application, website, content, and related digital wellness services (collectively, the "Services").

By creating an account, downloading, accessing, or using the Services, or clicking "I Agree", you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease using the Services and delete the application.

2. Eligibility & Strict 18+ Age Restriction

The Services are intended strictly and exclusively for individuals who are at least eighteen (18) years of age.

If you are under 18 years of age, you are strictly prohibited from registering, downloading, accessing, or using the Services or submitting any personal, health, or dietary data. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Comprehensive Medical, Nutritional & Wellness Disclaimers

3.1. Not Medical, Clinical or Nutritional Healthcare Advice

  1. No Licensed Medical Practice: ZURI GLOBAL S.R.L., its directors, employees, contractors, authors, content creators, and AI assistants are not licensed medical practitioners, registered dietitians, or clinical psychologists in the United States or any other jurisdiction.
  2. General Educational Concepts: All insights, habit suggestions, macronutrient and micronutrient discussions, hydration guidance, sleep hygiene recommendations, and episodes are general wellness educational principles derived from peer-reviewed scientific literature and public health guidelines.
  3. No Individualized Treatment: The Services do not prescribe medical meal plans, treat metabolic diseases, manage clinical eating disorders, diagnose ailments, or prescribe medication or therapeutic supplements.

3.2. Mandatory Physician Consultation Gatekeeper

Before adopting any dietary protocol, caloric adjustment, macronutrient modification, intermittent fasting schedule, dietary supplementation, or physical activity referenced in the Services, you MUST consult your personal physician, licensed medical doctor, or registered healthcare provider.

The Services may discuss general foods, meal ideas, ingredient swaps, and recipes (e.g., tree nuts, peanuts, seafood, dairy, eggs, soy, wheat, seeds). You maintain sole and exclusive responsibility for reviewing food ingredients, checking for allergen cross-contamination, and verifying the safety of any food or beverage before ingestion. ZURI GLOBAL S.R.L. expressly disclaims any liability for allergic reactions, anaphylaxis, food sensitivities, foodborne illness, gastrointestinal distress, or other adverse physiological outcomes.

3.4. Dietary Supplements & US FDA Disclaimer

Any educational references to vitamins, minerals, botanical extracts, herbs, or nutritional supplements within the Services:

4. Assumption of Risk & Voluntary Release of Liability

4.1. Voluntary Participation at Your Own Risk

You acknowledge and agree that your participation in any lifestyle modifications, dietary habits, hydration routines, mindfulness exercises, or physical movement featured in the Services is entirely voluntary. You expressly acknowledge that changing eating patterns or physical activity entails inherent physiological risks, including but not limited to fatigue, lightheadedness, gastrointestinal adjustments, nutrient imbalances, or potential exacerbation of pre-existing health conditions.

4.2. Express Release of Claims

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU KNOWINGLY, FREELY, AND VOLUNTARILY ASSUME ALL RISKS, BOTH KNOWN AND UNKNOWN, ASSOCIATED WITH YOUR USE OF THE SERVICES. YOU HEREBY RELEASE, WAIVE, AND FOREVER DISCHARGE ZURI GLOBAL S.R.L., ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS FROM ANY AND ALL CLAIMS, DEMANDS, LIABILITIES, LOSSES, DAMAGES, LAWSUITS, OR CAUSES OF ACTION ARISING OUT OF OR IN ANY WAY CONNECTED WITH BODILY INJURY, ILLNESS, ADVERSE HEALTH OUTCOMES, EMOTIONAL DISTRESS, OR ECONOMIC LOSS RESULTING DIRECTLY OR INDIRECTLY FROM YOUR USE OF THE APP.

5. Account Registration & Security

  1. You agree to provide accurate, current, and complete information during registration and to maintain the security of your credentials.
  2. You are responsible for all activities occurring under your account. You must notify us immediately at support@paso.health of any suspected breach or unauthorized use.
  3. We reserve the right to suspend or terminate accounts that breach these Terms or provide fraudulent information.

6. Subscriptions, Payments & Auto-Renewal (US Compliance)

6.1. Third-Party App Store Billing

PASO offers free features, trials, and premium subscription tiers ("Subscriptions"). All purchases, payments, and subscriptions are processed directly through the Apple App Store (Apple Inc.) or Google Play Store (Google LLC). ZURI GLOBAL S.R.L. does not collect, process, or store your credit card or financial account numbers.

6.2. Notice of Automatic Renewal (California ARL & US Compliance)

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE (MONTHLY OR ANNUALLY) UNLESS YOU CANCEL AT LEAST TWENTY-FOUR (24) HOURS PRIOR TO THE EXPIRATION OF THE THEN-CURRENT BILLING PERIOD.

7. No Third-Party Wearables or Sensor Integrations

The Services currently do not connect to, synchronize with, or collect real-time biometric feeds from third-party sensor hardware, wearable devices, Apple HealthKit, or Google Health Connect. Any health or habit tracking is based solely on voluntary self-reported inputs by the User.

8. Intellectual Property & License Grant

8.1. Exclusive Ownership

All intellectual property rights in and to the Services, including but not limited to the Paso mascot character designs, illustrations, poses, emotions, badges, audio scripts, recorded voiceovers, text episodes, graphical user interfaces, software code, and trademarks, are the sole and exclusive property of ZURI GLOBAL S.R.L. and its licensors.

8.2. Limited Personal License

ZURI GLOBAL S.R.L. grants you a revocable, limited, non-exclusive, non-transferable, non-sublicensable license to download and use the PASO application on your personal mobile device strictly for personal, non-commercial purposes.

8.3. Prohibitions

You agree that you will not:

  1. Copy, modify, decompile, reverse engineer, or extract source code from the application;
  2. Scrape, harvest, capture, or download audio tracks, episode scripts, or mascot artwork;
  3. Resell, distribute, or publicly display app content or the Paso mascot;
  4. Use the app or its content to train machine learning models, neural networks, or artificial intelligence algorithms.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE SERVICES AND ALL CONTENT, EPISODES, AND FEATURES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.

ZURI GLOBAL S.R.L. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:

  1. IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  2. ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, OR ERROR-FREE;
  3. ANY GUARANTEE OR PROMISE REGARDING HEALTH OUTCOMES, WEIGHT LOSS, MUSCLE GAIN, METABOLIC IMPROVEMENT, SLEEP QUALITY, OR MEDICAL RESULTS.

10. Limitation of Liability

10.1. Exclusion of Indirect & Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZURI GLOBAL S.R.L., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, BODILY INJURY, EMOTIONAL DISTRESS, MEDICAL EXPENSES, OR PERSONAL INJURY ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

10.2. Aggregate Financial Liability Cap

UNDER NO CIRCUMSTANCES SHALL ZURI GLOBAL S.R.L.'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE) EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), OR (B) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO ZURI GLOBAL S.R.L. FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless ZURI GLOBAL S.R.L., its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  1. Your violation of these Terms or applicable law;
  2. Your use or misuse of the Services;
  3. Any health complication, allergic reaction, or injury resulting from dietary or lifestyle decisions you made based on the app;
  4. Your violation of any third-party rights.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When material changes are made, we will update the "Last Updated" date and provide reasonable notice through the app or by email. Continued use of the Services after such changes constitutes your acceptance of the updated Terms.

13. Termination

ZURI GLOBAL S.R.L. may suspend or terminate your account and access to the Services at any time, without prior notice, if you breach these Terms or engage in conduct detrimental to the platform. Upon termination, all licenses granted to you immediately cease.

14. Governing Law

For users residing in the United States, these Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The Federal Arbitration Act (9 U.S.C. §§ 1-16) ("FAA") governs the interpretation and enforcement of Section 15.

For users residing outside the United States, these Terms shall be governed by the laws of Romania, without prejudice to mandatory consumer protection laws in your country of residence.

15. MANDATORY BINDING INDIVIDUAL ARBITRATION & CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT DIRECTLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO COMMENCE OR PARTICIPATE IN A LAWSUIT IN COURT OR BEFORE A JURY.

15.1. Mandatory Informal Dispute Resolution

Before initiating formal arbitration proceedings, you and ZURI GLOBAL S.R.L. agree to attempt to resolve any dispute informally. You agree to send a written notice of dispute containing your full legal name, account email address, a factual description of the dispute, and the specific relief sought to support@paso.health. Both parties agree to negotiate in good faith for sixty (60) calendar days from receipt of the notice.

15.2. Agreement to Binding Individual Arbitration

If the dispute is not resolved within sixty (60) days, ALL CLAIMS, DISPUTES, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, YOUR HEALTH OUTCOMES, OR APP CONTENT SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator.

15.3. CLASS ACTION WAIVER

YOU AND ZURI GLOBAL S.R.L. EXPRESSLY AGREE THAT ALL DISPUTES MUST BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR ZURI GLOBAL S.R.L. SHALL BE ENTITLED TO JOIN, CONSOLIDATE, OR COMBINE CLAIMS, OR ARBITRATE OR LITIGATE ANY CLAIM AS A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING.

15.4. Venue & Costs

Arbitration hearings may be conducted virtually, by videoconference, or by written submissions. If an in-person hearing is required by the arbitrator, it shall take place in the county of your residence or in New Castle County, Delaware. Payment of filing, administrative, and arbitrator fees will be governed by AAA rules.

15.5. 30-Day Opt-Out Window

You have the right to opt out of this arbitration agreement and class action waiver within thirty (30) calendar days of first registering your account. To opt out, you must email a clear opt-out statement containing your full name and account email to support@paso.health with the subject line "Arbitration Opt-Out". If you opt out, all other sections of these Terms remain fully applicable.

16. Severability & Entire Agreement

If any provision of these Terms is deemed unlawful, invalid, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and ZURI GLOBAL S.R.L. concerning the Services.
